Code of Ethics
Ineo Tech will conduct its business honestly and ethically whenever we operate in the world. We will constantly improve the quality of our product and services and will create a reputation for honestly, fairness, respect, responsibility, integrity, trust and sound business judgement. No illegal or unethical conduct on the part of officers, directors, employee or affiliates is in the company’s best interest. Ineo Tech will not compromise its principles for short-term advantages. The ethical performance of our company is the sum of the ethics of the men and women who work here. Thus, we are all expected to adhere to high standards of personal integrity.
a. Directors and employees of the company must never permit their personnel interested to conflict, or appear to conflict, with the interests of the company, its client or affiliates.
b. Directors and employees must be particularly careful to avoid representing Ineo Tech in any transaction with others with whom there is any outside business affiliation or relationship.
c. Directors and employees shall avoid using their company contacts to advance their private business or personal interests at the expense of the company, its clients or affiliates.
d. No bribes, kickbacks or others similar remuneration or consideration shall be given to any person or organization in order to attract or influence business activity. Directors and employees shall avoid gift, gratuities, fees, bonuses or excessive entertainment, in order to attract or influence business activity.
e. Directors and employees of Ineo Tech will often come into contact with, or have possession of, propriety, confidential or business – sensitive information and must take appropriate steps to assure that such information is strictly safeguarded. This information- whenever it is on behalf of our company or any of our client or affiliates- could include strategic business plan, operating results, marketing strategies, customer list, personnel records, upcoming acquisitions and divestitures, new investments, and manufacturing costs, processes and methods. Propriety, confidential and sensitive business information about this company, others companies, individuals and entities should be treated with sensitivity and discretion and only be disseminated on a need-to know basis.
f. Misuse of material inside information in connection with trading in the company’s securities can expose an individual to civil liability and penalties under applicable Securities Law. Under this law, directors and employees in possession of material information not available to the public are insider trading. The act prohibit insiders from trading in, or recommending the sales or purchase of, the company securities, while such inside information is regarded as material, or if it is important enough to influence you or any other person in the purchase or sale of securities of any company with which we do business, which could be affected by the inside information. The following guidelines should be followed in dealing with inside information:
i. Until the material information has been publicly released by the company, an employees must not disclose it to anyone except those within the company whose positions require use of the information.
ii. Employees must not buy or sell the company’s securities when the have knowledge of material information concerning the company until it has been disclosed to the public and the public has sufficient time to absorb the information.
iii. Employees shall not buy or sell securities of another corporation, the value of which is likely to be affected by an action by the company of which the employee is aware and which has not been publicly disclosed.
g. Directors and employees will seek to report all information accurately and honestly, and as otherwise required by applicable reporting requirements.
h. Directors and employees will refrain from gathering competitor intelligence by illegitimate means and refrain from acting on knowledge which has been gathered in such a manner. The Directors and employees of Ineo Tech will seek to avoid exaggerating or disparaging companies of the services and competence of their competitors.
i. Directors and employees will remain personally balances so that their personnel life will not interfere with their ability to deliver quality product or services to the company and its clients. Directors and employees agree to disclose unethical, dishonest, fraudulent and illegal behavior, or the violation of company policies and procedures, directly to management.
Violation of this code of ethics can results in discipline, including possible termination. The degree of discipline relates in part to whether there was a voluntary disclosure of any ethical violation and whether remember that good ethics is good business.
Company Code of Conduct
Ineo Tech expects a standard of excellence in every aspect of our business as we are supplying our products all over the world. Our customers, expects Ineo Tech’s employee, its suppliers and participants in its supply chain demonstrate the highest ethical standards and responsible conduct in all areas of operations. We would like to emphasize our company policy towards for the employees and supplier on the below key Company Code of Conduct:
The following elements form the basis of our social compliance program:
1. Human Rights
Ineo Tech and its partner are required to comply with applicable local and international laws, rules and regulations, as well as with human health and safety laws, including all laws prohibiting child labor, prison labor, trafficking and slavery.
Each partner shall have a Code of Conduct, which should contain the fundamental requirements of behavior for all the employees within the organization. The Code of Conduct shall represent the binding framework and the brackets for all specific guidelines and sets of rules.
Compliance with the following key principles is required:
a. Forced, bonded or involuntary prison labor is prohibited
b.Workers are not required to lodge “deposits” or their identity papers and are free to leave after reasonable notice
c. A safe and hygienic working environment is provided. Adequate steps must be taken to prevent accidents and injury occurring in the workplace by minimizing hazards inherent in the working environment.
d.The factory must comply with all applicable local laws and regulations regarding working conditions, including worker health and safety, fire safety, electrical, mechanical and structural safety.
e.Workers shall receive regular and recorded health and safety training, and such training shall be repeated for new or reassigned workers
f. Workers are provided access to clean toilet facilities and to potable water, and, if appropriate, sanitary facilities for food storage shall be provided
g. No person shall be employed at any age younger than legal minimum age for working in the jurisdiction in which the work is being conducted.
h. Wages and benefits must be paid for a standard working week and meet at a minimum, national legal standards, but in any event always be enough to meet basic needs and to provide some discretionary income
i. All workers be provided with written and understandable Information about their employment conditions in respect to wages before they enter employment and about the particulars of their wages for the pay period concerned each time that they are paid
j. Deductions from wages as a disciplinary measure are not permitted. Working hours must comply with national laws and collective agreements, whichever affords the greater protection for workers. All overtime shall be voluntary and paid for in accordance with local law.
k. There must be no discrimination in hiring, compensation, access to training, promotion, termination or retirement based on race, caste, national origin, religion, age, disability, gender, marital status, sexual orientation, union membership or political affiliation
l. Only workers with a legal right to work shall be employed
m. To every extent possible work performed shall be on the basis of recognized employment relationship established through national law and practice
n. Obligations to employees under labor or social security laws and regulations arising from the regular employment relationship shall not be avoided through the use of labor-only contracting, sub- contracting, or home-working arrangements, or through apprenticeship schemes where there is no real intent to impart skills or provide regular employment, nor any such obligations be avoided through the excessive use of fixed-term contracts of employment.
o. Physical abuse or discipline, the threat of physical abuse, sexual or other harassment and verbal abuse or other forms of intimidation must be prohibited.
2. Environmental Impacts
Ineo Tech and its partner must ensure compliance with all applicable legal environmental requirements (international, national, federal, regional, local) as well as any specific requirements of the authorities concerning environmental protection with respect to water, soil and air protection, conservation of resources, waste minimization, noise and light protection, flora and fauna and humans.
Ineo Tech and its partner has to minimize emissions into air (e.g. volatile organic compounds, dust, greenhouse gases) and liquids (e.g. oil, chemicals) and to minimize contamination of soil, groundwater and the natural surrounding (e.g. spills, leaks, incidents)
3. Ethical Business Practices
Ineo Tech and its partners endeavor to act professionally and ethically and must:
a. Conduct business fairly and transparently in line with applicable laws.
b. Not tolerate bribery, corruption, extortion and embezzlement in their business operations or supply chain. Suppliers shall never offer, accept, or support bribes or other means of obtaining undue or improper advantage.
c. Notify Ineo Tech as soon as any form of conflict of interest becomes apparent.
d. Safeguard confidential information received from third parties and protect the personal data of employees, customers, and other individuals in accordance with all applicable laws. Innovation and knowledge sharing between IneoTech and its Suppliers is encouraged and we respect all intellectual property rights in doing so.
